Stratasys Ltd. said Wednesday it signed a definitive agreement to acquire MarkForged Inc., a Nano Dimension subsidiary, in an all-cash deal valued at $42.5 million.
The transaction is expected to close in the second half of 2026, subject to customary closing conditions and regulatory approvals.
MarkForged provides end-to-end fused filament fabrication, or FFF, 3D printing systems. Its Digital Forge platform combines printers, in-house materials and secure software for simulation, part management and automated print optimization.
Stratasys said MarkForged’s continuous carbon fiber technology allows aerospace, defense, automotive and food and beverage manufacturers to produce parts that are lighter and stronger than traditional FFF alternatives.
The acquisition is expected to expand Stratasys’ distribution network and strengthen its capabilities in high-performance, production-ready components used in industries where supply chain resilience and manufacturing flexibility are increasingly important.
“This acquisition further advances our capabilities to meet customers’ growing needs in critical areas such as defense and aerospace at a time when additive manufacturing continues to displace traditional manufacturing for high-requirement applications in production,” Stratasys CEO Yoav Zeif said.
Stratasys said adding MarkForged’s products will enhance its composite materials portfolio, particularly for aerospace and defense uses such as tooling, fixtures, ground support equipment and select production parts.
The company also said the deal will strengthen its software offering, including manufacturing workflows, remote printing, simulation and inspection tools.
Markforged generated about $70 million in revenue in 2025, including its Metal Binder Jetting product line, which Nano Dimension will retain. Stratasys said it expects the acquisition to improve gross margins within a year of closing, generate cost synergies and contribute positively to EBITDA.
Stratasys said it will update its guidance after the transaction closes.
